In this fictional POV story, your uncle tells you "Family only" while he lines up a $21 million sale of your grandfather's dairy, and you stay quiet because you already own 51% of it. You run a milk route at Bellamy Dairy in Lima, Ohio, and your grandfather's three conditions are the only reason nobody knows.
When fourteen drivers quit and a lawyer finds Schedule 7 in the sale papers, you have to decide what the secret is worth and who the company is really for.

This is a fictional story. Characters, events and financial figures are invented or illustrative. It is for entertainment and is not financial, investment, tax or legal advice.

Story figures:
In 2016 your grandfather helped you set up Mill Road Partners LLC, which bought 51% of Bellamy Dairy for $1.6 million. Fenner Foods offers $21 million for the whole company. Your uncle's retention payment if the sale closes is $1.1 million (Schedule 7). You sell your 51% for about $7 million, which is less than the Fenner deal would have paid you, and about 140 jobs stay. Bellamy Dairy, Mill Road Partners, Fenner Foods, every name and every figure here are invented for this story. Lima, Findlay and Bluffton, Ohio are settings only.

Background:
An employee stock ownership plan (ESOP) is a retirement plan that holds company shares for employees. In the story the plan borrows to buy the owner's shares and the company repays the loan, with an independent appraiser setting the price. The proxy that ends at your grandfather's death and the will clause that passes your mother's share to you are illustrative, not legal advice.
