A boardroom votes. 70% of the shares are in favour. The resolution still fails. How?
Because the law doesn't count "most" — it counts thresholds. And knowing which decision needs a simple majority and which needs three-fourths is the difference between a valid company decision and a void one.
This is Module 7 of the free Ductus Edge Company Law series — Meetings & Resolutions. A company decides nothing in a corridor; it decides in meetings, by resolutions, under strict rules about who is called, how many must attend, and how the votes are counted. This lecture walks through that entire machinery under the Companies Act, 2013 — from the yearly AGM to the postal ballot — and ends with two real listed-company meetings. No legal background needed.
