Frequently Asked Questions:
How much is a property dividend worth to the shareholder?
The distribution amount to the shareholder equals the fair market value of the property received. If the shareholder assumes a liability attached to the property, the taxable dividend amount is reduced by the amount of that liability.
What is the shareholder's basis in property received as a dividend?
The shareholder takes a basis equal to the property's fair market value on the distribution date. This holds regardless of any liability the shareholder assumes on the property.
Does the corporation recognize gain or loss on a property dividend?
The corporation is treated as if it sold the property at fair market value, so it must recognize any built-in gain. However, it cannot recognize a loss on a property distribution, which is a common trap tested on the exam.
How does a property dividend affect earnings and profits?
Any recognized gain increases E&P, and E&P is then reduced by the fair market value of the property distributed (adjusted for any liability). Importantly, a property distribution cannot create or increase a deficit in E&P; the reduction stops at zero.
What happens when a liability is large relative to the property's value?
If the liability attached to the property is more than its fair market value, the fair market value is deemed to be at least equal to the amount of the liability for purposes of computing the corporation's recognized gain.
