Selecting the appropriate business organisation is one of the most important decisions entrepreneurs, investors, and legal practitioners make. Every business structure has distinct legal consequences relating to liability, taxation, ownership, management, succession, financing, and regulatory compliance. Understanding these differences is essential for competent corporate legal practice and is frequently examined in the Nigerian Law School Bar Part II examinations.
In this Week 4 lecture, O. O. Stevens Esq. provides a practical, examination-focused analysis of the Choice and Forms of Business Organisation under Nigerian law. The lecture explains the legal characteristics, advantages, disadvantages, and regulatory requirements of the major forms of business organisations recognised in Nigeria.
The lecture examines the provisions of the Companies and Allied Matters Act (CAMA) 2020 governing business names, partnerships, limited liability partnerships (LLPs), limited partnerships (LPs), private and public companies, companies limited by guarantee, unlimited companies, and incorporated trustees. Students will also learn the factors that determine the most suitable business structure for different commercial objectives.
Designed specifically for Nigerian Law School Bar Part II students, this lecture combines statutory analysis, practical examples, corporate advisory skills, and examination-focused teaching to simplify one of the foundational topics in Corporate Law Practice.
