Same Profit, Different Price: Why Buyers Pay More for Some Businesses

Two businesses can make the same profit and still sell for very different prices. One gets multiple offers. The other sits on the market, drops its price again and again, and sometimes never sells.
The difference usually isn't in the profit and loss statement. It's in what a buyer sees after looking past the numbers.
In this video, I explain why profit and a standard multiple are only the starting point for business valuation, and what actually moves the price up or down. I draw on my experience running businesses, consulting with small companies, and reviewing hundreds of business listings while looking for a business to buy.
Here's what we cover:
Why "profit × 3" is a starting point, not a valuation
Owner dependency: what happens if the owner stops showing up tomorrow?
Transferability: customers, vendors, and special terms tied to the owner personally
A real due-diligence example where lost vendor terms cut profit by about $140,000 a year, worth roughly $420,000 at a 3x multiple
Lease risk: transfer terms, rent increases, and landlord approvals
Team stability after the sale
Revenue that keeps coming in vs. revenue that depends on constant marketing
Seasonality, systems, and technology
Why overpricing and repeated price cuts become red flags for buyers
The biggest lesson? Buyers aren't paying for last year's profit. They're paying for how confident they can be that the profit will continue after the owner leaves.
If you own a business, use this as a checklist before you list it. If you're buying, use it to ask better questions before you make an offer.
