Flipkart didn't create ESOPs because it was generous. It created them because it was broke.
That's Binny Bansal's version of the story, and it's the least romantic and most useful thing you'll hear about equity all year. No funding, no cash for market salaries, one currency left to pay with.
Fifteen years later: ~₹12,000 crore in employee wealth. Over 300 companies started by ex-Flipsters. Six of them unicorns. 40,000+ people now employed by those companies — many of them holding grant letters of their own.
On Saturday morning, ~5,000 of you joined us for The ESOP Arc, with Binny Bansal, Magizhan Selvan (Namma Yatri), Anil Goteti (Scapia), Varun Khaitan (Urban Company), and our co-founder Sandeep Jethwani.
A few things that stayed with us:
Anil asked Binny for 2x the ESOPs when he joined Flipkart. Binny said no — let's work together a year first. Anil says he ended up with more than his due anyway, without asking again.
Magizhan didn't know he had ESOPs at JustPay for two years. His framing: salary protects your downside, ESOPs are the upside you can actually influence. Career portfolio management — salary is your fixed income, early-stage equity is your small cap.
Anil's first stock, at Qualcomm, went underwater the month he resigned. He got back a fraction of what he'd counted on for his MBA. The lesson he's carried since: you're already all-in on your company. Take some off the table for your own peace of mind.
And Varun on life after the IPO — the fundamentals don't change. You still have to believe in what the company is worth in five years. The only difference is now the price is on your phone every morning, testing that belief daily.
We surveyed 850 people holding equity worth ₹1 crore or more. 65% couldn't tell us their vesting schedule. 75% didn't understand dilution.
Equity is the most asymmetric wealth creation tool available to Indians today. It's also the most misunderstood. That gap is the whole reason we did this.
