Many accounts of what happened to Spirit Airlines start in 2026, with fuel prices and a failed rescue. The documents start four years earlier. On May 2 2022, Spirit's board sent JetBlue a letter, signed by chairman Mac Gardner and chief executive Ted Christie, warning that a JetBlue deal had "a low probability" of getting past antitrust regulators while JetBlue kept its partnership with American Airlines.
This video follows what the board did next. It had already agreed to merge with Frontier, but by July 2022 its shareholders would not approve that deal. On July 27, fifteen minutes before voting closed, Spirit ended the Frontier deal, and the next day it signed with JetBlue for about $3.8 billion. "We are thrilled to unite with JetBlue," Christie said. In January 2024, a federal judge blocked the merger, on the second risk the letter had named: the loss of a low-fare airline.
It also covers the parts of this story that usually get left out: the question Spirit put to its own officers, "What changed?"; an agreement that never required JetBlue to give up its partnership with American; the talks with Frontier that came back on worse terms; and the causes Spirit's own sworn bankruptcy filings name. Spirit went bankrupt twice and shut down on May 2 2026.
Spirit's board hadn't run out of warnings. It had run out of deals its shareholders would take.
