On August 27, 2026, Vince Holding Corp. (Nasdaq: VNCE) filed a Form 8-K describing the sale of OVO's intellectual property. Section 2.4(a) of the Asset and Equity Purchase Agreement sets the Asset Purchase Price at $117,647,058.82 — for all of OVO's IP, including the OVO Sound and OVO Fest trademarks and the owl logo. The price was paid partly by issuing 49 units of the buyer, ABG-OVO LLC, back to the seller. After closing, Authentic Brands Group holds 51%, Drake 44% and Vince 5% (bought for $6 million). Vince bought all of OVO's operating companies for $3.00, free of OVO's debt. Drake signed the agreement personally as guarantor. Separately, lender A.R.I. says OVO owed it C$5,037,977 as of July 31, 2026, and that it received no portion of the sale proceeds. OVO has argued in its own Toronto lawsuit that the disputed make-whole fee was never triggered. The cases are pending in Ontario and British Columbia.
